Indication of Value

You share basic financials. Within 10 business days we provide a non-binding indication of value — what we'd pay and in what structure. No surprises later.

Letter of Intent

If the indication works, we execute an LOI — locking in the deal terms, exclusivity period, and timeline. We assign your integration lead at this stage.

Due Diligence

A focused 30–45 day review of your book, carriers, systems, and staff. We look for what we need to know — not everything we could possibly ask for.

Close & Integration

We close on the agreed terms and begin the integration plan we've been building since the LOI. Your team knows what to expect on day one.

We value based on a multiple of trailing 12-month revenue, adjusted for retention rate, line mix, client concentration, carrier relationships, and growth trajectory. We're not a private equity roll-up applying a rigid formula — we look at the whole picture. For high-retention books in growing lines with diversified clients, we pay strong multiples.

Absolutely. Many of our acquisitions include a transition period where the seller remains involved — sometimes years. We also work with principals who want to stay in a production or leadership role post-close. The structure depends on what you want. We build around your goals, not a standard template.

We are licensed or in the process of licensing in all 50 states and are actively acquiring nationwide. Geography is not a barrier — if you have a well-run agency or a quality book, we want to talk regardless of where you're located.

For a clean book of business acquisition, we can close in 45–60 days from signed LOI. A full agency acquisition with staff and systems typically takes 60–90 days. If there are complexity factors — multiple entities, carrier consent requirements, licensing issues — we plan for them in advance and build the timeline accordingly.

Completely. We don't require an NDA to have an initial conversation, but we'll execute one before you share any financials. We've never had a confidentiality breach in our acquisition process and we take it seriously — we know what it would mean for your agency if word got out prematurely.
